Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the LocalNinja website, online store, products, features, content and related services (collectively, the “Services”).

The Services are operated by LocalNinja (“LocalNinja,” “we,” “us,” or “our”) and are powered by Shopify, which provides the ecommerce platform that enables us to offer products and Services to you.

By visiting our website, creating an account, placing an order or otherwise using the Services, you agree to these Terms and our other policies referenced below. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least the age of majority in your province, state or country to use the Services or place an order. If you are under the age of majority, you may use the Services only with the involvement and consent of a parent or legal guardian.

By using the Services, you represent that you have the legal capacity to enter into these Terms and that the information you provide is accurate and complete.

2. Customer Accounts

Certain Services may require a customer account. You are responsible for:

• Providing accurate and current account information;
• Maintaining the confidentiality of your account access and authentication codes;
• Restricting access to your device and account; and
• All activity conducted through your account, except where caused by circumstances outside your reasonable control.

You must notify us promptly at support@localninja.ca if you believe your account has been accessed without authorization.

We may suspend or terminate an account where reasonably necessary to address fraud, security concerns, unlawful activity or a material breach of these Terms.

3. Products and Services

We make reasonable efforts to display and describe our products accurately. However, colours, dimensions and other visual details may appear differently depending on your device, screen settings and manufacturing variations.

Product images may be illustrative. Packaging, colours, designs and minor product details may change without notice, provided the product remains materially consistent with its description.

All products and Services are subject to availability. We may limit quantities, discontinue products or restrict sales where reasonably necessary, subject to applicable law.

Nothing in these Terms limits any mandatory warranty, condition or consumer right provided by applicable law.

4. Prices, Taxes and Charges

Prices are displayed in the currency identified on the website or during checkout. Applicable taxes, shipping costs, duties and other charges will be displayed or calculated during checkout where possible.

For international orders, you may be responsible for import duties, customs charges, brokerage fees or local taxes unless checkout expressly states that these amounts are included.

We may change product prices and promotions at any time before an order is accepted. A price change will not affect an order that we have already accepted, except where permitted by law or where an obvious pricing error has occurred.

Discounts and promotional offers may be subject to additional conditions, expiration dates, exclusions and quantity limits. Unless stated otherwise, promotions cannot be combined.

5. Orders

Submitting an order is an offer to purchase the selected products. An automated order-confirmation message acknowledges that we received your order but does not necessarily mean that the order has been accepted. p>

Subject to applicable law, we may decline or cancel an order for reasons including:

• The product is unavailable;
• Payment cannot be authorized or verified;
• Order information appears inaccurate or incomplete;
• We reasonably suspect fraud, unauthorized activity or resale activity;
• A pricing, inventory or product-description error occurred; or
• We cannot deliver to the provided address.

If we cancel an order after payment has been collected, we will issue a refund to the original payment method, subject to the payment provider’s processing time.

We may limit or cancel quantities purchased per person, household, account, payment method, billing address or shipping address where reasonably necessary.

6. Billing and Payment

You agree to provide current, complete and accurate billing, contact and payment information.

Payments are processed by Shopify and applicable third-party payment providers. Your use of a particular payment method may also be subject to the payment provider’s terms.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges, including the product price, taxes, shipping and other amounts shown during checkout.

LocalNinja does not directly receive or store complete payment-card numbers.

7. Shipping and Delivery

Shipping destinations, methods, charges and estimated delivery times are described during checkout and in our Shipping Policy.

Delivery dates are estimates unless expressly stated otherwise. Delays may occur because of carrier operations, customs processing, weather, incorrect address information, high order volumes or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us promptly if you discover an error. We cannot guarantee that an address can be changed after fulfilment begins.

Ownership, delivery responsibility and risk of loss will be determined according to applicable law. Nothing in these Terms removes your rights concerning products that are lost, damaged, defective or not delivered.

8. Returns, Refunds and Exchanges

Returns, exchanges, cancellations and refunds are governed by our Refund Policy, which forms part of these Terms.

Please review the Refund Policy before purchasing. It explains eligibility periods, product-condition requirements, exclusions, return-shipping responsibilities and how refunds are issued.

Nothing in our Refund Policy or these Terms limits any return, refund, cancellation, warranty or other remedy that cannot legally be excluded.

9. Intellectual Property

The Services and their content—including the LocalNinja name, branding, logos, designs, graphics, photographs, videos, text, layout, software and other materials—are owned by or licensed to LocalNinja and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the Services for personal, non-commercial shopping purposes.

You may not, without prior written permission:

• Copy, reproduce, distribute, publish or commercially exploit our content;
• Remove copyright, trademark or proprietary notices;
• Use LocalNinja branding in a misleading manner;
• Frame, mirror or reproduce substantial portions of the Services; or
• Use our content to create a competing product or service.

Product names, characters, brands and trademarks belonging to third parties remain the property of their respective owners. Unless expressly stated, the appearance of third-party intellectual property does not imply sponsorship or endorsement.

10. Reviews, Feedback and Submissions

If you submit a review, image, comment, suggestion or other content (“User Content”), you represent that:

• You own the User Content or have permission to submit it;
• It is accurate based on your genuine experience;
• It does not violate another person’s rights;
• It is not unlawful, fraudulent, defamatory, threatening or obscene; and
• It does not contain malware, undisclosed advertising or misleading information.

You retain ownership of your User Content. By submitting it, you grant LocalNinja a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, format and use it in connection with operating, improving and promoting the Services.

We may moderate or remove User Content that violates these Terms or applicable law. We will not restrict a customer from publishing an honest review merely because it is critical or negative.

11. Acceptable Use

You must not use the Services to:

• Violate any applicable law or regulation;
• Commit fraud or impersonate another person;
• Infringe intellectual-property, privacy or other legal rights;
• Harass, threaten, abuse or harm another person;
• Submit false, misleading or malicious information;
• Transmit malware, harmful code or destructive technology;
• Attempt unauthorized access to an account, system or network;
• Interfere with the operation or security of the Services;
• Scrape, crawl or automatically extract information without authorization;
• Circumvent security, purchase restrictions or technical controls; or
• Use the Services for an unlawful or unauthorized commercial purpose.

We may restrict access to the Services where reasonably necessary to prevent or address prohibited conduct.

12. Third-Party Services and Links

The Services may include features, tools, payment options or links provided by Shopify or other third parties.

Third-party services are governed by their own terms and privacy policies. LocalNinja does not control and is not responsible for third-party websites or services, except to the extent responsibility cannot be excluded under applicable law.

You should review the applicable third-party terms before using those services or providing personal information.

13. Privacy

Our collection, use and disclosure of personal information are described in our Privacy Policy.

Shopify also processes certain personal information as described in the Shopify Consumer Privacy Policy. p>

14. Errors and Corrections

Information on the Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, availability, shipping or delivery.

We may correct errors and update information at any time. If an error materially affects an order you have already placed, we will notify you and provide any cancellation or refund rights required by law.

15. Service Availability

We aim to keep the Services available and secure, but we do not guarantee uninterrupted or error-free access.

We may temporarily suspend parts of the Services for maintenance, security, updates, emergencies or circumstances outside our reasonable control.

We may modify or discontinue a feature of the Services, but doing so will not remove rights or obligations associated with an order already accepted.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as available” basis. We do not guarantee that the website will always be uninterrupted, secure or free from technical errors.

Products are subject to the express descriptions and warranties provided with them, together with all mandatory warranties and conditions imposed by applicable law.

Nothing in these Terms excludes, restricts or modifies a statutory guarantee, warranty, condition or consumer right that cannot legally be excluded, restricted or modified.

17. Limitation of Liability

To the maximum extent permitted by law, LocalNinja will not be liable for indirect, incidental, special or consequential losses arising from use of the Services where those losses were not reasonably foreseeable. p>

Nothing in these Terms limits or excludes liability for:

• Fraud or fraudulent misrepresentation;
• Gross negligence or wilful misconduct;
• Death or personal injury caused by negligence;
• Breach of a mandatory statutory warranty or consumer right; or
• Any liability that cannot legally be limited or excluded.

Where liability may legally be limited, LocalNinja’s aggregate liability relating to a product order will not exceed the amount you paid for the product giving rise to the claim.

18. Indemnification

To the extent permitted by law, you agree to indemnify LocalNinja from third-party claims, damages and reasonable expenses resulting directly from your unlawful use of the Services, your infringement of another person’s rights, or your material breach of these Terms.

This provision does not apply to losses caused by LocalNinja or where indemnification is prohibited by consumer-protection law.

19. Events Outside Our Control

We will not be responsible for delay or failure caused by events outside our reasonable control, including natural disasters, severe weather, labour disruptions, transportation interruptions, customs delays, governmental action, telecommunications failures or widespread service outages.

This section does not remove any cancellation, refund or other rights provided by applicable law.

20. Termination

You may stop using the Services at any time.

We may suspend or terminate your access if you materially violate these Terms, engage in unlawful or fraudulent conduct, or create a security risk.

Termination does not affect rights and obligations that arose before termination. Provisions that by their nature should survive termination—including intellectual-property, payment, liability and dispute provisions—will continue to apply.

21. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules.

The courts located in Ontario will have jurisdiction over disputes, except where applicable consumer law gives you the right to bring a claim in another jurisdiction.

Nothing in these Terms deprives you of mandatory consumer rights provided by the laws of your place of residence.

22. Severability

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted or removed to the minimum extent necessary. The remaining provisions will continue in effect.

23. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

24. Assignment

You may not transfer your rights or obligations under these Terms without our consent.

We may transfer these Terms as part of a merger, acquisition, restructuring or sale of our business, provided the transfer does not reduce your rights under an existing order or applicable law.

25. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy and any order-specific terms presented during checkout, constitute the agreement between you and LocalNinja concerning the Services.

If an order-specific term conflicts with these Terms, the order-specific term will apply to that order unless prohibited by law.

26. Changes to These Terms

We may update these Terms to reflect changes to our Services, business practices or legal obligations.

The revised Terms will be posted on this website with an updated “Last updated” date. Changes will apply prospectively unless otherwise required by law.

Material changes affecting an existing order will not apply retroactively without your agreement unless required by law.
